This End-User License Agreement ("EULA") is between Post AI Marketing, LLC ("Post AI") and the individual or entity using the Ledger by Post AI client software, including web, browser-extension, and mobile clients (collectively, the "Software"). The Software is a client to the Ledger by Post AI cloud service, which is governed by the Terms of Service. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service control.
1. License grant
Subject to your compliance with this EULA and the Terms of Service, Post AI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely to access the Service for your internal business purposes during the term of your subscription.
2. Restrictions
You may not, and you may not permit any third party to: (a) copy, modify, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by law; (c) remove or alter any proprietary notices; (d) distribute, sublicense, lease, rent, or sell the Software; (e) use the Software to develop a competing product; or (f) circumvent any access or usage controls.
3. Updates and feature changes
The Software auto-updates. Updates may add, remove, or change features. We will give reasonable notice before removing material features. By using the Software, you consent to receive updates automatically.
4. Third-party components and open-source
The Software includes open-source and third-party components, each licensed under its own terms. A current list of components and their licenses is available at app.postailedger.com/legal/oss. To the extent any open-source license requires it, those terms control over this EULA for that component.
5. Ownership
The Software is licensed, not sold. Post AI and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted by implication or estoppel.
6. Term and termination
This EULA is effective until terminated. It terminates automatically if you breach it. On termination, you must stop using and delete all copies of the Software. Sections 5–10 survive termination.
7. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". POST AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POST AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS EULA WILL NOT EXCEED FIFTY U.S. DOLLARS ($50.00). IN NO EVENT WILL POST AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Export and U.S. government use
You may not export the Software in violation of U.S. export laws. The Software is "commercial computer software" within the meaning of 48 C.F.R. § 12.212; U.S. government end users acquire only those rights set forth in this EULA.
10. General
This EULA is governed by the laws of the State of Delaware. If any provision is unenforceable, the rest remain in effect. Notices to Post AI: legal@postailedger.com.
